ARTICLE 1 Scope of Application

These General Terms and Conditions (hereinafter referred to as the “GTC”) constitute, pursuant to Article L 441-1 of the Commercial Code, the sole basis governing the commercial relationship between the parties.

Their purpose is to define the terms under which Anim and You (“the Service Provider”) provides its customers—whether businesses or individuals (“the Customer”)—with the services described on the Service Provider’s website, namely:

The management of festive events and activities;

The production of entertainment shows for businesses.

(Hereinafter referred to as the “Service(s).” )

As part of these Services, the Service Provider agrees to organize, carry out, and/or broadcast “turnkey” events and activities for the Client.

Placing an order and confirming a service constitutes the customer’s full and unconditional acceptance of the general terms and conditions of sale and event services. No special terms and conditions may take precedence over these general terms and conditions of sale unless formally accepted in writing by the service provider.

The Customer acknowledges having received, in a clear and understandable manner, these General Terms and Conditions of Sale, as well as all the information specified in Article L.221-5 of the Consumer Code, before placing an order and entering into the contract by signing the quote.

ARTICLE 2 Order Processing

Any request for Services shall be followed by the issuance of a quote (hereinafter the “Quote”) by the Service Provider, which must be accepted by the Client, accompanied, if applicable, by the payment of a deposit specified in the Quote.

The Quote is valid for 30 days. After this period, the Service Provider may submit a new Quote with revised financial terms, unless the Service Provider agrees to maintain the original terms.

Once signed and accepted, the Quote becomes a firm order as of the date of signature. However, if a deposit is required, the order will not be considered final by the Service Provider until such deposit has been received, in accordance with the Quote.

ARTICLE 3 Terms of Payment

The payment terms are specified on the purchase order and must be followed; otherwise, penalties may be imposed in the event of late payment or nonpayment.

Unless otherwise specified on the purchase order, the general terms of payment are as follows:

A deposit of 70% of the total amount (including tax) is required at the time of booking

The remaining 30% is due on the day of the event

Any additional services ordered by the customer after the balance has been paid and before the date of the event will be billed separately.

The Client agrees to designate a member of its staff to serve as the primary point of contact for Anim and You (represented by Alexis Willocquet) in order to manage the specific practical and operational details arising from the purpose of this contract.

Payments will be made by bank transfer, check, or administrative money order (for local governments).

ARTICLE 4 – Cancellation and Rescheduling Policies

In the event that the event is canceled due to force majeure, neither party shall be held liable for failure to perform its obligations if such failure is due to external circumstances such as strikes, inclement weather, riots, public demonstrations, etc.

The purchase order specifies the minimum budget on which the order is based. Unless Anim and You has given prior written consent, the date of the service cannot be changed. The exact number of participants must be confirmed in writing no later than 7 business days before the service; this number cannot be less than the minimum specified in the purchase order.

Cancellation Policy:

For cancellations made between 30 and 45 days before the event: the deposit will be refunded in the form of a credit, valid for one year from the original date of the event.

For cancellations made between 15 and 29 days before the event: 50% of the total service fee will be charged.

For cancellations made 14 days or less before the event: the full amount of the service, including tax, will be due.

ARTICLE 5 Price

The Services are provided in accordance with the financial terms set forth in the Quote. The price is stated in euros, excluding taxes, and will be subject to the applicable VAT rate at the time of invoicing.

Any delay or other unforeseen circumstance beyond the Service Provider’s control may result in additional costs, which will be billed separately. The Service Provider agrees to notify the Client as soon as such delays or problems arise in order to discuss the potential impacts with the Client.

Invoices will be issued for the Services rendered and, if necessary, as they are performed.

ARTICLE 6 – Customer Obligations and Service Process

After the client approves a service and signs a purchase order, Anim and You confirms that it has accepted the order, usually by email. Depending on the nature of the service, a courtesy call may be scheduled a few days before the event, made by Anim and You or by one of its staff members, external service providers, or subcontractors.

The final number of guests must be provided at least 7 days before the event date. If additional guests are added, the invoice will be adjusted accordingly for all applicable services.

The client agrees to provide all necessary materials for organizing the event and to share access maps, badges, or any other relevant information. Speakers or external service providers must be able to access the event venue no later than one hour before the start time, in accordance with the schedule established with the client.  Speakers or external service providers shall ensure that their services begin at the times originally specified in the purchase order. Any delay may, subject to agreement between the client and Anim and You, result in a postponement of the end time.

The customer will also ensure compliance with the technical requirements for the service, such as minimum dimensions and the required electrical power.

For outdoor events, the client must arrange for a covered alternative venue in case of inclement weather.

In addition, any raw materials supplied by the customer will be subject to specific negotiations regarding delivery and storage terms, as well as any compensation. These raw materials will remain the sole responsibility of the customer, who is also required to ensure their food safety.

ARTICLE 7 Responsibilities 

Since Anim and You has an obligation of means, it undertakes to use reasonable efforts at every stage of the order process, as well as for the steps following the conclusion of the contract. 

The company accepts no liability for theft or damage to property or items of any kind (personal belongings, luggage, equipment, etc.) belonging to the customer or entrusted to the customer. In the event of property damage at the service location caused by the customer, the customer’s guests, or the customer’s staff, the customer will be billed for repairs. 

The client is responsible for organizing each service and assumes full liability for any damage to property and/or injury to persons that occurs during the event, unless there is proven fault or negligence on the part of the service provider.

ARTICLE 8 Term

Anim and You (a sole proprietorship represented by Alexis Willocquet) undertakes to provide the service in accordance with the duration of the event specified in the purchase order. The speakers and external service providers engaged by the agency must do everything in their power to ensure that the service is provided as agreed upon with the client and described in the purchase order.

ARTICLE 9 Advertising and Right of Publicity

The Service Provider (or its successors, if applicable) retains full ownership of the intellectual property rights relating to the Services, including copyrights to all documents, visuals, or other content created in this context. These terms and conditions do not entail any transfer of these rights to the Client, except for the specific authorization to reproduce and distribute the Services through the Service Provider, on the dates and at the locations agreed upon in the Quote.

In addition, the Service Provider is expressly authorized to use the Client’s trade name, trademark, and logo, as well as all or part of the services provided (photographic, video, and audio materials), for the purpose of showcasing or promoting its business. The Service Provider may reproduce or distribute these materials on its website, in any promotional materials, and to its prospective clients, worldwide and for a period of 20 (twenty) years from the date of execution of this Agreement.

ARTICLE 10 Non-Solicitation Clause

The Client agrees, for a period of 24 (twenty-four) months following the completion of the ordered service, not to enter into a contract with or solicit, of any nature or for any reason whatsoever, directly or indirectly, through any person other than Anim and You (represented by Alexis Wiillocquet), with the Partner, external service provider, or subcontractor introduced by Anim and You for the purpose of performing services similar to or identical to those performed with the assistance of Anim and You.

In the event of a breach of this clause, Ani and You shall be entitled to claim from the Client, as compensation, an amount equal to twice the revenue generated by Ani and You from the Client for the service provided by the subcontractor or any other external service provider.

ARTICLE 11 – Protection of Personal Data

Data Processing for Order Management

In connection with the order and to ensure proper performance of the contract, the Service Provider must collect and process certain personal data necessary to identify the Customer and to perform the Services. The information collected includes that specified in the Quote and provided by the Customer (name, email address, phone number, mailing address). This data may be shared with third parties, such as external service providers or subcontractors engaged by Anim and You in connection with the organization and performance of the service ordered by the Client. It is retained for the entire duration of the Service and for a maximum period of three (3) years. The information is stored in an electronic file by the Service Provider’s employees only. The Customer has rights such as the right to access, rectify, delete, and object, which they may exercise by contacting (provide an email address, mailing address, and phone number). If, after contacting the Service Provider, the Customer believes that their data protection rights have not been respected, they may file a complaint with the CNIL.

Use of Data for Commercial Purposes

By accepting these General Terms and Conditions of Sale (GTC), the Customer is expressly informed that their email address will be added to a database by the Service Provider for marketing purposes, in particular to send newsletters containing news or promotional offers. The Customer may object to this use upon signing these GTC by sending a simple request via email to the following address: (fill in with a general email address) or by unsubscribing directly from the newsletters. This data will be retained until the Customer chooses to unsubscribe by checking the box provided for that purpose. The Customer may withdraw their consent at any time.

ARTICLE 11. Governing Law

In the event of a dispute relating to or involving Anim and You (represented by Alexis Willocquet), you agree that such dispute shall be governed by French law and subject to the jurisdiction of French courts, without regard to any conflict of laws provisions. The competent courts shall be those located within the jurisdiction of the city of Lille.

ARTICLE 12 Insurance

Anim and You has a valid professional and general liability insurance policy with Orus, policy number RCPH278350386, to cover risks associated with its business activities.
